Artist Distribution & Submission Agreement
This Artist Distribution & Submission Agreement (“Agreement”) is entered into between Rocky Street (“Platform,” “we,” “us”) and the individual or entity submitting music (“Artist,” “you”), effective as of the date the Artist accepts this Agreement during submission (“Effective Date”).
1. Purpose
Rocky Street operates an online platform for hosting, streaming, and selling independent music (“Platform”). This Agreement governs the terms under which Artist submits music recordings and associated materials (“Content”) to be distributed through the Platform.
This is a distribution and hosting relationship only. Rocky Street is not a music publisher or label under this Agreement, does not acquire ownership of Artist’s Content, and does not represent Artist for publishing, sync licensing, or any purpose beyond hosting and sale on the Platform unless separately agreed in writing.
2. Grant of Rights
Artist grants Rocky Street a non-exclusive, worldwide, royalty-free (to Rocky Street) license to:
● Host, store, and stream the Content on the Platform;
● Reproduce and make the Content available for digital download or sale through the Platform;
● Display Artist’s name, likeness, artwork, and biographical information solely in connection with promoting the Content on the Platform;
● Create reasonably necessary technical copies (e.g., transcoding, thumbnails, streaming formats) to operate the Platform.
This license is non-exclusive: Artist may distribute the same Content through any other platform, label, or service at any time. Artist retains all copyright and ownership of the Content.
3. Artist Warranties
By submitting Content, Artist represents and warrants that:
● Artist owns or controls all necessary rights in the Content, including all master recording rights and underlying composition rights, or has obtained all necessary licenses and clearances (including for any samples, features, or interpolations);
● The Content does not infringe the copyright, trademark, privacy, publicity, or other rights of any third party;
● The Content does not contain unlawful material, and Artist has the legal right to distribute it in every territory where the Platform operates;
● All information provided during submission (identity, ownership, contact and payment details) is accurate.
Artist agrees to indemnify and hold Rocky Street harmless from any claims, damages, or expenses (including reasonable legal fees) arising from a breach of these warranties.
4. Fees & Revenue
Per-sale commission
Fees and revenue terms (any listing fee, platform commission, payment schedule, minimum payout and payment method) are confirmed in writing when your account is approved. No fees apply until you have agreed to them.
Where a sale commission applies, the artist receives the remaining share of the net sale price after Rocky Street’s commission, as confirmed at approval.
Rocky Street will provide Artist with reasonable access to sales data for their own Content through the Platform.
5. Content Standards & Review
Rocky Street reserves the right to review submitted Content before it is published, and to decline or remove any Content that:
● Appears to infringe third-party rights or violate these warranties;
● Violates applicable law;
● Fails to meet the Platform’s stated technical or quality guidelines (see Submission Guidelines);
● Contains hate speech, harassment, or content that endangers others.
Rocky Street aims to review submissions within 7 business days, but does not guarantee publication of any submitted Content.
6. Term & Termination
This Agreement remains in effect while Artist’s Content is hosted on the Platform. Artist may withdraw any or all Content from the Platform at any time by written request or via account settings; Rocky Street will remove the Content within a reasonable time, though cached or previously-downloaded copies may persist with end users.
Rocky Street may suspend or remove Artist’s Content or account for breach of this Agreement, suspected fraud, legal risk, or a valid takedown notice, with notice to Artist where reasonably practicable.
Sections 3 (Warranties), 7 (Copyright & Takedowns), 8 (Liability), and 9 (General) survive termination.
7. Copyright & Takedowns (DMCA)
Rocky Street responds to valid copyright takedown notices in accordance with applicable law (e.g., the DMCA in the United States). If a notice is filed against Artist’s Content, Rocky Street may remove or disable access to it pending resolution. Repeated or unresolved infringement claims against an Artist’s account may result in suspension or termination under this Agreement.
Rocky Street’s full takedown process is described in the Platform’s DMCA / Copyright Policy, incorporated into this Agreement by reference.
8. Disclaimer & Limitation of Liability
The Platform is provided “as is.” Rocky Street does not guarantee any level of sales, streams, or exposure for Artist’s Content. To the maximum extent permitted by law, Rocky Street’s total liability arising from this Agreement is limited to the fees actually paid to Artist in the 6-month period preceding the claim. Rocky Street is not liable for indirect, incidental, or consequential damages.
9. General
● Governing law: This Agreement is governed by the laws of [ jurisdiction ], without regard to conflict-of-law principles.
● Entire agreement: This Agreement, together with the Platform’s Submission Guidelines, Terms of Service, and DMCA Policy, constitutes the entire agreement between the parties regarding Content submission.
● Amendment: Rocky Street may update this Agreement from time to time; continued submission of Content after notice constitutes acceptance of the updated terms.
● Assignment: Artist may not assign this Agreement without Rocky Street’s written consent. Rocky Street may assign this Agreement in connection with a merger, acquisition, or sale of assets.
● Severability: If any provision is found unenforceable, the remainder of the Agreement remains in effect.
10. Acceptance
By checking “I agree” and submitting Content through the Platform, Artist confirms they have read, understood, and agree to be bound by this Agreement.
